In reality, people making 20-30M pound commitments have a chat with the player first, possibly even concluding personal terms in principle, before making an offer.
But, the response need not be positive from the player's side for the buying side to continue. A non-negative (you get my club to accept a bid and then we'll see) response can also get the ball rolling.
Do you think Cesc would have made multiple categorical comments about wanting to stay at Barca if he had the slightest inclination to move to Man United? But, obviously, if Barcelona want him gone, he has little choice but to evaluate what is on offer on the other side.
